Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between eZLeads ("Company," "we," "us," or "our") and any business user ("User," "you") accessing or using the eZLeads website, platform, software, and related services (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. BUSINESS-TO-BUSINESS USE ONLY

1.1. The Services are provided strictly for business and commercial purposes.

1.2. By using the Services, you represent and warrant that:

  • You are acting on behalf of a business entity or as a business professional;
  • You are not a consumer;
  • You are not using the Services for personal, household, or consumer purposes.

1.3. Consumer protection laws, consumer refund rules, and gift-card regulations do not apply to the Services.

2. ELIGIBILITY

You must:

  • Be at least eighteen (18) years old;
  • Have full legal authority to bind your business;
  • Provide accurate, complete, and current information at all times.

eZLeads reserves the right to suspend or terminate access if eligibility requirements are not met.

3. DESCRIPTION OF SERVICES

eZLeads operates a B2B lead marketplace that allows Users to purchase U.S. real estate leads, including:

  • Leads graded or scored (e.g., A, B, C, D, or similar);
  • Access to leads through a prepaid credit/balance system;
  • Account management, customer support, and verification communications;
  • Operational SMS or phone communications related to the Services.

eZLeads is not a real estate broker, agent, or intermediary, does not represent buyers or sellers, and does not participate in real estate transactions.

4. LEAD GRADES & SCORING DISCLAIMER (IMPORTANT)

4.1. Any grades, scores, rankings, or classifications assigned to leads:

  • Are based on eZLeads' internal methodologies;
  • Are subjective and informational only;
  • Do not constitute guarantees, predictions, or assurances of performance, motivation, accuracy, or outcome.

4.2. eZLeads makes no representations or warranties regarding:

  • Lead responsiveness or interest;
  • Accuracy or completeness of lead data;
  • Conversion rates, profitability, or business success.

4.3. You acknowledge and agree that:

  • Lead performance varies;
  • You are solely responsible for evaluating and using leads;
  • You assume all risks associated with purchasing and using leads.

5. USER ACCOUNTS

5.1. Users must create an account to access the Services.

5.2. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities conducted through your account.

5.3. eZLeads may suspend or terminate accounts at its sole discretion, with or without notice, including for:

  • Violations of these Terms;
  • Abuse of credit, refund, or promotional systems;
  • Legal, compliance, or reputational risk.

6. WEBSITE CREDITS & BALANCE SYSTEM

6.1. Credit Purchases

  • Platform credits ("Website Credits") are purchased via third-party payment processors such as Stripe.
  • Website Credits are not legal tender, have no cash value, and may only be used within the eZLeads platform.

6.2. Promotional / Bonus Credits

  • Certain credit packages may include promotional or bonus credits.
  • Promotional credits are provided free of charge as incentives;
  • Have zero monetary value;
  • Are non-refundable, non-transferable, and non-withdrawable.

6.3. Refund & Anti-Abuse Policy

If a refund is approved by eZLeads:

  • Refunds are issued as Website Credits first, at eZLeads' discretion;
  • Cash refunds, if granted, are limited strictly to the actual amount paid, excluding promotional credits;
  • Any promotional credits are automatically forfeited;
  • Any credits already used are deducted prior to refund calculation.

Example: A $1,000 purchase that includes $300 in promotional credits → maximum refundable amount is $1,000, never $1,300.

7. CREDIT OWNERSHIP & USAGE

  • Paid Website Credits do not expire unless otherwise stated by eZLeads.
  • Credits remain the property of eZLeads until redeemed for Services.
  • Credits may not be sold, transferred, assigned, or redeemed outside the platform.

8. NO RESALE OR SHARING OF LEADS

8.1. Leads are licensed for single-business, internal use only.

8.2. Users may not resell, share, distribute, publish, transfer or sublicense leads to any third party.

Violation of this section results in immediate termination without refund.

9. PAYMENTS, CHARGEBACKS & ABUSE

  • Unauthorized chargebacks or payment disputes are prohibited.
  • eZLeads may suspend or terminate accounts involved in abusive disputes.
  • eZLeads reserves the right to submit evidence to payment processors and financial institutions.

10. SMS, CALLS & TCPA COMPLIANCE

10.1. Platform Communications

By creating an account, you consent to receive SMS messages or phone calls from eZLeads for:

  • Account verification;
  • Service notifications;
  • Customer support.

Message and data rates may apply. Opt-out instructions will be provided where required by law.

10.2. User Legal Responsibility

Users are solely responsible for:

  • Obtaining lawful consent before contacting any lead;
  • Compliance with TCPA, Do-Not-Call laws, and all applicable state and federal regulations;
  • Proper call disclosures and recording consent where required.

eZLeads bears no liability for User communications with leads.

11. INTELLECTUAL PROPERTY

All software, content, databases, branding, and systems are owned by eZLeads or its licensors. No rights are granted except as expressly stated in these Terms.

12. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EZLEADS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZLEADS SHALL NOT BE LIABLE FOR: LOST PROFITS OR REVENUE; BUSINESS INTERRUPTION; DATA LOSS; LEAD PERFORMANCE OR OUTCOMES; INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

EZLEADS' TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO EZLEADS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless eZLeads from any claims arising out of:

  • Your use of leads;
  • Violations of TCPA, privacy, or marketing laws;
  • Misuse of the Services or breach of these Terms.

15. TERMINATION

eZLeads may suspend or terminate access to the Services at any time, with or without notice, for any reason, including risk mitigation or suspected abuse.

16. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to such jurisdiction.

17. CHANGES TO TERMS

eZLeads reserves the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
